Payment Terms & Campaign
Charter Membership is a lifetime agreement between RightDowntTown.com and Client. The membership fee is for indefinite sponsorship.
Credit Card Authorization. If Client selects Credit Card payment option, a Paypal request will be forwarded to client. No credit card information will ever be requested, and Client will never incur any additional charges extending upon this completed agreement. Client may display RightDownTown.com's name and logo as desired, unless specifically requested to refrain.
Payment By Check. If Client selects Check payment option, Client agrees to pay Membership Fee by check or other suitable negotiable instrument.

General Terms & Conditions
Term. Agreement will remain in effect for one (1) year from Effective Date and shall renew automatically. No additional charges will be incurred by Client.
Termination. Either party may terminate Agreement, with or without cause, with 30 days written notice to the other party. If termination is initiated by Client, Client agrees to relinquish any and all seniority or tenure accrued, implied or alluded to during Client’s participation as a member in good-standing. If Client wishes to withdraw after one full year of membership, a 100% refund of membership fee will be issued (30 day window after anniversary).
Client Warranties. Client warrants that (a) Client is a verifiably licensed member of his/her community, and operates in full compliance with city ordinances. (b) Client further warrants that, where required, they will maintain a business license, posted in a conspicuous place, as required by provision under local and/or municipal code. (c) Client is of legal age and is otherwise capable of forming a legally binding contract, (d) all information provided to customers about Client and/or Client’s services is Client’s responsibility; Client acknowledges that Client, and not RightDownTown.com, is offering Client’s products / services, (e) Client’s promotion and distribution of Client’s products / services does not violate any applicable laws or regulations.
RightDownTown.com Indemnification. Client agrees to defend, indemnify and hold-harmless RightDownTown.com and its affiliates, officers, directors, employees and consultants, from and against any and all claims, losses, liabilities and damages of any kind resulting from Client’s membership to or use of the RightDownTown.com service and site and/or Client’s breach of this agreement. This provision shall survive termination of Agreement.
No RightDownTown.com Liability. RightDownTown.com provides the RightDownTown.com Agreement “AS IS”. RightDownTown.com makes no warranties with respect to the performance of its website, software or service, express or implied. The parties agree that in no event will RightDownTown.com be liable to Client or any other party, under any theory of liability. With regard to assignment and/or scope of agreement, RightDownTown.com may assign Agreement at any time with notice, and that Agreement is the complete and exclusive statement of the mutual understanding of the parties, and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement.
Governing Law. This Agreement shall be governed by and construed under the laws of the State of California, without reference to conflict of law rules.
What RightDownTown.com Agrees To Do. Provide Client with a searchable web-link (or optional page) accessible through a Consumer Internet Portal.
What Client Agrees To Do. Assist the potential customers in a timely and professional manner. Notify RightDownTown.com promptly of any changes in Client information or relevant business status. Provide “word of mouth” advertising for RightDownTown.com within the community.
What RightDownTown.com Doesn’t Do. RightDownTown.com acts neither as a broker nor salesman regarding any transaction, purchase, exchange or property characterization entered into by Client. RightDownTown.com has minimal knowledge, and makes no representations or warranties about sellers or participant members.
Equal Housing Opportunity. Use of RightDownTown.com services is subject to the Federal Fair Housing Act, which makes it illegal to advertise “any preference, limitation, or discrimination because of race, color, religion, sex, handicap, familial status, or national origin, or intention to make any such preference, limitation, or discrimination.”
